手術室防護服采購協議合同編號：__________surgeryroomprotectiveclothingprocurementagreementBETWEEN:[Contractor'sName]Address:[Contractor'sAddress]City:[City]Province:[Province]PostalCode:[PostalCode]AND:[Customer'sName]Address:[Customer'sAddress]City:[City]Province:[Province]PostalCode:[PostalCode]EffectiveDate:[EffectiveDate]1.0DEFINITIONSANDINTERPRETATION1.1InthisAgreement,unlessthecontextotherwiserequires:(a)"Agreement"meansthissurgeryroomprotectiveclothingprocurementagreement,includingallschedulesandappendiceshereto,asamendedfromtimetotime;(b)"Contractor"means[Contractor'sName];(c)"Customer"means[Customer'sName];(d)"DeliveryDate"meansthedateonwhichtheprotectiveclothingistobedeliveredtotheCustomer,assetoutinScheduleA;(e)"ProtectiveClothing"meansthesurgicalgowns,drapes,andotherprotectivegarmentsspecifiedinScheduleA;(f)"ProofofDelivery"meansadocumentprovidedtheContractortotheCustomerconfirmingthedeliveryoftheProtectiveClothing;(g)"Term"meansthetermofthisAgreement,assetoutinClause2.0;(h)"TotalPurchasePrice"meansthetotalpurchasepricefortheProtectiveClothing,assetoutinScheduleA.1.2TheheadingsinthisAgreementareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.2.0TERM3.0PROTECTIVECLOTHING3.1TheContractoragreestosupplytheCustomerwiththeProtectiveClothinginaccordancewiththespecificationsandquantitiessetoutinScheduleA.3.2TheContractorrepresentsandwarrantsthattheProtectiveClothing:(a)conformstoallapplicablestandardsandregulationsforsurgicalapparel;(b)isofhighqualityandfreefromdefectsinmaterialsandworkmanship;(c)hasnotbeensubjecttoanyrecallorothersafetyalert;and(d)isfreefromanyliensorencumbrances.4.0DELIVERY4.1TheContractorshalldelivertheProtectiveClothingtotheCustomeronorbeforetheDeliveryDate.4.2TheContractorshallprovidetheCustomerwithaProofofDeliveryuponrequest.4.3TheCustomermayrejectanydeliverythatdoesnotconformtothespecificationssetoutinScheduleA,andtheContractorshall,atitssoleexpense,promptlyreplaceorrefundtheCustomerforanysuchnonconformingdelivery.5.0PURCHASEPRICEANDPAYMENTTERMS5.1TheCustomeragreestopaytheContractortheTotalPurchasePricefortheProtectiveClothing,assetoutinScheduleA.5.2TheCustomershallmakepaymenttotheContractorwithin[paymentterm]daysafterthedateoftheinvoiceissuedtheContractor.5.3TheContractorshallprovidetheCustomerwithadetailedinvoicefortheProtectiveClothing,showingthebreakdownoftheTotalPurchasePrice.6.0WARRANTY6.1TheContractorwarrantsthattheProtectiveClothing:(a)conformstothespecificationssetoutinScheduleA;(b)isfreefromdefectsinmaterialsandworkmanship;and6.2TheContractor'swarrantyshallexpire[warrantyexpirationperiod]afterthedateofdelivery.6.3TheCustomer'ssoleandexclusiveremedyforanybreachofwarrantyshallbethereplacementofthenonconformingProtectiveClothingorarefundofthepurchasepriceforsuchnonconformingProtectiveClothing.7.0LIABILITYANDINDEMNIFICATION7.1TheContractorshallindemnifyandholdharmlesstheCustomeragainstanyclaims,damages,losses,orexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwith:(a)anybreachofthisAgreementtheContractor;一、附件列表：1.附件A：ProtectiveClothingSpecifications2.附件B：DeliverySchedule3.附件C：PaymentTermsandInvoiceDetails4.附件D：WarrantyTermsandConditions二、違約行為及認定：1.遲延交付：如果Contractor未能在約定的DeliveryDate之前交付ProtectiveClothing，則構成違約。2.產品質量不符：如果交付的ProtectiveClothing與ScheduleA中規定的規格不符，或存在材料和做工上的缺陷，則構成違約。3.未履行保修義務：如果Contractor未能在warrantyexpirationperiod內履行保修義務，則構成違約。4.未能履行付款義務：如果Customer未能在Contractor發出的發票日期之后[paymentterm]天內支付TotalPurchasePrice，則構成違約。三、法律名詞及解釋：1.合同方（Contractor/Customer）：指本協議中簽訂合同的雙方。2.保護服裝（ProtectiveClothing）：指手術服、手術布和其它規定的保護服裝。3.交貨日期（DeliveryDate）：指根據ScheduleA規定的ProtectiveClothing交付日期。4.付款期限（PaymentTerm）：指Customer支付TotalPurchasePrice的期限。5.保修期（WarrantyExpirationPeriod）：指Contractor提供的ProtectiveClothing保修期限。四、執行中遇到的問題及解決辦法：1.交貨問題：如果Contractor未能按時交付ProtectiveClothing，應立即與Contractor聯系，要求其在合理的期限內交付。如果無法解決，Customer有權根據合同條款終止合同并尋求賠償。2.產品質量問題：如果ProtectiveClothing存在質量問題，Customer有權拒絕接收，并要求Contractor在指定期限內更換或
