2、4R,本公司注冊于新加坡,注冊辦公室位于淡馬林蔭大道7號,29樓04室,新達成第一大廈,新加坡038987(之后統稱為“出租方”),安華(新加坡) 。公司注冊號:2011087712,公司注冊于新加坡,注冊辦公室位于淡馬林蔭大道34樓03室,新達成第三大廈,新加坡038988(之后統稱為“承租方”)Whereby it is agreed as follows:1. The Landlord hereby grants and the Tenant hereby accepts a tenancy of all the premises(“the Premises”)more particul
3、arly described in Annex A herewith described as in a bare condition for a term of Twenty Four Months (two years) with an option to renew this agreement for an additional one year at a mutually agreed price based on prevailing market rental agreed in writing by both parties, commencing on 1st August,
4、 2011 (the “ Commencement Date”) subject to the terms and stipulations hereinafter contained and payment to the landlord of monthly rental which must be paid in advance on the first day of each month for the whole month or proportionately for any part of a month, the first of such payment to be made
5、 on or before the Agreement Signing Date as follows: 出租方準予并且承租方接受所有房屋租賃合同的有關條款,特別是附件A中描述的情況,承租方在24個月(2年)內,可以選擇續租一年,租金基于當時的市場價格并由雙方協商并書面確定,根據以下條款和規定,租賃起始于2011年8月1日(“起始日期”),房租于每月一號前以月租的形式交給出租方,不足一月需按相應比例繳納租金,在協議簽訂之日或之前,第一次租金繳納形式如下:() during the term of tenancy from 1st August, 2011 to 31st July 2013(b
6、oth dates inclusive), a monthly rental of Singapore Dollars Seven Thousand Two Hundred Only (S$ 7,200.00) which is exclusive of 7% GST and calculated at a rate of S$ 8.00 per square foot computed on the total floor area 900 sq.ft of the Premises.() 租賃期限,自2011年8月1日起至2013年7月31號止(這兩個日期都包含在內),除去7%的消費稅,月
7、租為7200新幣,以建筑面積900平方英尺,每平方英尺8新幣來計算。2. The Tenant HEREBY COVENANTS with the Landlord as follows:(a) ()To pay the said monthly rental at the times and in the manner aforesaid without any deductions whatsoever. The first rental shall be paid to the Landlord on or before the signing of this agreement.2.
8、根據協議,承租方對出租方承諾如下:(a) () 每月按上述要求按時繳納房租,不得有任何扣減。第一次租金應于簽署協議之日或之前繳納。()To pay the Landlord on or before the signing of this Agreement a Deposit of Singapore Dollars 14,400.00 (Fourteen Thousand & Four Hundred Only) by way of security for the due performance and observance by the Tenant of all the ag
9、reements obligations undertakings and conditions on the part of the Tenant herein undertaken to be performed and observed. The said Deposit shall be retained by the Landlord throughout the term of the tenancy hereby created free of any interest to the tenant but subject as aforesaid, the landlord sh
10、all be entitled to utilize the said deposit to set-off against the landlords claim for damages as a result of the tenants breach non-observance or non-performance of any of the said covenants agreements stipulations or conditions. If the landlords claim exceeds the said deposit the amount claimed sh
11、all be a debt from the tenant to the landlord and shall be recoverable forthwith as such() 在簽署協議之日或之前,承租方應繳納(僅14,400.00新幣),用以確保承租方在租賃期間能夠遵守協議規定并能夠履行其責任和義務。出租方在租賃期內應保留此押金,承租方不得收取任何利息,但如上述所說,出租方有權利用此押金來索取因承租方違反或不履行協議規定對房屋所造成的損壞。如出租方的索賠超過上述押金數額,超出數額則應視為承租方所欠債務,應立即予以繳納。Provided that the said Deposit sha
12、ll not be made use of by the Tenant as payment of monthly rental or any amounts due and payable to the landlord under any circumstances. The landlord will refund the said Deposit or the balance thereof after any deduction made in accordance with this clause within thirty (30) days of the expiry or e
13、arlier termination of this Agreement free of interest.在任何情況下,承租方不得以上述押金來抵月租或任何向出租方支付的費用。出租方在合同終止或提前終止合同后的30日內,應退還押金或按合同規定扣費后的余額。(b) To pay to Public Utilities Board, Singapore Telecoms and any other relevant authorities (except only where it is hereinafter expressly provided to the contrary) all rat
14、es and charges (including all taxes added in their respective bills) in respect of supply of Water, Gas, Electricity and Telephone any other services or amenities to or at the Premises and to pay all deposits and hire charges in respect thereof.(b) 支付給公用事業委員會及其他相關機構(除非下文中有明確相反規定)所有市政服務費及收費(包括所有相關稅費)
15、如水費,氣費,電費, 費及其他房屋服務費和福利設施費用,并繳納所有相關的保證金及雇用服務費。(c) To use the Premises as an office for the business of the Tenant shall not use the Premises or any part thereof for any other purpose without the prior written consent of the Landlord which consent will not be unreasonably withheld.(c) 承租方租用此房屋用于辦公,在沒
16、有得到出租方的書面許可下不得將此辦公室或其中任何一部分用作其他用途,但這種許可出租方不得無理拒絕。(d) Not to adopt or utilize any unethical business practice or conduct any auction, fire, bankruptcy or closure sale on the Premises.(d) 辦公室內不得進行不道德的商業活動及進行拍賣,軍火交易,破產或停業。(e) To be responsible for keeping the Premises clean and in good tenantable and h
17、ygienic condition and keep all pipes drains basins sinks and water-closets in the Premises used by the Tenant its servants agents and invitees in good clean and tenantable repair and condition to the satisfaction of the Landlord and to take all necessary and precautionary measures at the Tenants exp
18、ense for the prevention and extermination of pests, vermins, rodent and other crawling insects. To comply with all statutory provisions and all rules regulations and bylaws of all Public Health and other Governmental Authorities in respect of the sanitary arrangement hygiene health or cleanliness of
19、 the Premises.(e) 承租方辦公室內需保持衛生,承租方及其雇用人員使用的衛生間臉盆及便桶需保持清潔干凈,應做到令出租方滿意。承租方應預先采取必要的措施來防止及根除害蟲,害鳥,嚙齒目動物及其他爬行類昆蟲。應遵守所有涉及公共衛生及其他有關政府當局涉及清潔衛生的有關法定條款,及租屋的衛生規定。(f) Not to cause or otherwise permit any employee or agent of the tenant to cause any obstruction in the road-ways or the car park or otherwise use t
20、hose areas allocated to the parking or movement of or access of vehicles or designated as load/unloading areas other than in accordance with the Landlords written permission or requirements which may from time to time be communicated to the Tenant in writing in respect of the parking of vehicles on
21、the said road-ways and the said car park.(f) 不得允許任何承租方的雇員及代理商造成道路或停車場的阻礙,此外,也不得違反與出租方所簽署的書面同意協議或要求,將所分配的停車場或進入移動車輛的地方,裝卸貨的地方移作他用,這些有關道路及停車場的有關規定和要求可不時與承租方協商并書面確定。(g) To permit Landlords authorized representative(s) inside the premises, either for Inspection of the premises or maintenance or security
22、 purposes whatsoever, at all times.(g) 隨時允許出租方授權的代理人進入租屋視察,維護或是為了安全目的。(h) To observe and conform to all the rules and regulations as may be imposed on the occupier of the Premises by any statute order rule or regulation now or hereafter (including regulations as to the opening and closing hours and
23、days of the Premises) or as may from time to time be made by the Competent Authorities.(h) 承租方應遵守所有現在或將來可能實施的規則及條例(包括租用辦公室的開關時間及日期)或由主管當局隨時所做出的其他規章制度。(i) To carry out and comply with all acts regulations, bylaws and requirements of the Competent Authorities in connection with or relation to the Tena
24、nts business carried on in the Premises.(i) 承租方應執行并遵守所有有關租用辦公室的法令條例,次要法規及主管當局的要求規定。(j) To supply receptacles approved by the Landlord for holding trash and litter belonging to the Premises and have the same removed daily at the Tenants own expense and if for any reason the Landlord shall reasonably
25、deem it desirable to arrange for the removal of such trash or litter and pursuant thereto carry out such removal to reimburse the Landlord for the cost of such removal.(j) 經出租方批準,辦公室內可提供容器供裝垃圾之用,每天清理垃圾,費用由承租方自理。如出租方合理認為需由其安排清理垃圾,承租方應支付出租方相關清理費用。(k) To pay all legal costs and all of the stamp duty in
26、curred in the preparation of this Agreement in duplicate and to pay for all legal fees (including the Landlords solicitors charges on a solicitor and client basis) and other costs and expenses incurred in connection with any claim or legal proceedings which may be brought by the Landlord against the
27、 Tenant in enforcing the terms of this Agreement in respect of any breach by the Tenant of the terms of this Agreement.(k) 承租方應支付準備此一式兩份合同所引起的所有法律費用及印花稅,支付所有法律費用(包括出租方的律師費用,基于律師與委托人的關系)及其它在執行此合同過程中,因承租方違反本合同,而由出租方通過法律程序獲取索賠過程中所產生的費用。(l) To ensure that all exits be properly marked and illuminated and
28、 that fire extinguishers and fire-fighting equipment be adequately installed and provided for in the Premises.(l) 承租方應保證在租用辦公室內,所有出口都有合理的標記和照明,并提供滅火器和消防設備。(m) Not to place or permit to be placed upon any part of the Premises any load in excess of that stipulated by the Landlord or the Competent Auth
29、orities.(m) 承租方不得在出租辦公室內放置超過出租方或主管當局的規定或允許的物品。(n) Not to carry on or permit or suffer to be carried on upon any part of the Premises any offensive or dangerous trade business or occupation nor to permit or suffer the Premises to be used for any illegal or immoral purpose or so as to cause nuisance a
30、nnoyance or inconvenience to the occupants of adjoining or neighboring premises nor bring or permit or suffer to be brought in or upon the Premises or any part thereof any goods which in the opinion of the Landlord is of a dangerous or hazardous nature.(n) 承租方不得在租用辦公室內從事或允許從事任何具有攻擊性的或危險的貿易活動或工作,此外,不
31、可將租用辦公室用于任何不法或不道德活動,或對鄰近辦公室造成困擾和不便,不可將出租方認為具有危險性的任何貨物帶入屋內或置于房頂。(o) Subject to Clause 2(a)() of this Agreement not to make any alteration or change in the Premises nor to any of the interior partitioning, decoration, fixtures fittings, or the existing locks and bolts nor to install any additional loc
32、ks to the Premises without the Landlords previous consent in writing which consent shall not be unreasonably withheld.(o) 根據本合同條款2(a)(),在獲得出租方書面許可之前,不得對租用辦公室做任何的改動,不可改變其內部分割,裝潢,固定裝置,或已有鎖和門閂,也不可安裝任何額外的門鎖,當然這種書面許可出租方不可無理拒絕。(p) NOT TO KEEP OR PERMIT OR SUFFER TO BE KEPT any animals or pets inside the P

(p) 在租用辦公室內,不得飼養或允許飼養或被迫飼養任何動物或寵物。(q) Not to burn any incense or joss-sticks in, outside or around the Premises or to cause or permit any offensive or unusual odor to be produced upon permeate through or emanate from the Premises.(q) 不得在租用辦公室內,室外及其周圍燒香,也不得在屋內彌漫或傳出任何令人不快或異常的氣味。(r) Subject to
34、 clause 2(a)() of this Agreement, not to do or permit or suffer to be done any act or thing which may cause damage or injury of any kind to any part of the main structure or make any alteration to the exterior of the Premises.(r) 根據合同條款2(a)(),不得對租用辦公室的外部結構做任何改動,不得從事任何可能有損租屋主要構造的行為或事情。(s) Not to inst
35、all or use in the Premises any plan apparatus machinery or equipment which requires any additional electrical main wiring or which consumes electricity not metered through the meters from which the tenants consumption of electricity is calculated.(s) 不得在租用辦公室內安裝或使用需要額外布線的任何儀器或設備,或是不能使用承租方電表來測量用電量的電器
36、或設備。(t) Not to install or use the Premises any air-condition plant machinery or equipment without the prior written consent of the Landlord which consent shall not be unreasonably withheld and to keep al windows and doors closed while the air-conditioning system is in operation.(t) 承租方在獲得出租方書面許可之前(這
37、種書面許可不得無理拒絕)不得安裝或使用任何空調設備,開空調期間應關好門窗。(u) Not to prevent or obstruct the Landlord and all persons authorized by the Landlord at all reasonable times upon prior appointment to enter into and upon the Premises to view the state of repair and condition thereof, to carry out any repairs which are the res
38、ponsibility of the Landlord hereunder, to take inventories and inspect the condition of the fixtures and fittings therein, to test the electric wiring, too read the meters and to do any other act or thing which may be required to be done by the Landlord in respect of the Premises. The Landlord and i
39、ts representatives shall be entitled in the event of any emergency or if the Tenant shall fail to permit entrance pursuant hereto after reasonable notice to enter the Premises by opening or breaking any door window or other part of the exterior and the Tenant shall reimburse the Landlord the cost of
40、 repairing and marking good any damage thereby caused.(u) 在提前預約后,承租方不得阻止出租方或其授權的個人進入出租屋查看修繕情況及其狀況。對出租辦公室進行修繕,做詳細記錄,檢查固定裝置及配件,檢測電線,讀儀表以及其他應由出租方來完成的事情是出租方的責任和義務。一旦出現緊急事件或經合理通知后承租方不允許進入租屋,出租方及其代理人有權打開窗戶或破窗而入,或打破其他外部設備進入,而由此所產生的任何維修費及損失由承租方承擔。(v) On receipt of any notice from the Landlord or its authori
41、zed representative specifying any works or repairs which are required to be done and which are the responsibility of the Tenant hereunder, within forty-eight (48) hours in cases of emergency and within seven (7) days (or such longer period as the Landlord shall consent to, such consent not to be unr
42、easonably withheld) in all other cases to comply with such notice and carry out the said works or repairs with all possible dispatch and without any delay.(v) 在收到出租方或其代理人的任何通知后,承租方應根據通知要求立即開展相關工作或修繕工作,通知中將詳述需要由承租方來完成的任務或修繕事宜,緊急情況需要48小時內完成,其他情況7天內完成(或出租方許可的更長時間內,這種許可不可無理拒絕)。(w) Not to permit the Prem
43、ises or any part thereof to be used for the cooking or preparation of food (other than as a pantry for use within office premises) nor to reside in or permit any person to reside in any part of the Premises or use or permit or suffer the Premises or any part thereof to be used as sleeping quarters o
44、r domestic premises nor to allow any person to remain in the Premises overnight but to keep the Premises securely fastened and locked at all times when the Premises is unattended.(w) 不允許把租用辦公室或其任何一部分用來做飯或準備做飯之用(除作為食品餐具儲藏室外)不得留宿或允許任何人留宿在辦公室內,或把辦公室的一部分改做臥室或家用房間,也不允許任何人在關門關窗,無人注意的情況下在室內過夜。(x) Not to us
45、e the Premises or any part thereof for the storage of goods or merchandise other than for the purposes of sale on the Premises nor keep or store or cause or permit to be kept or stored any goods of a specially combustible, inflammable or dangerous nature (alcoholic beverages, wines spirits and the l
46、ike which are stored on the Premises to be used in connection with the Tenants business on the Premises excepted).(x) 承租方不得在辦公室內任何地方儲存貨物或商品,除非在辦公室用作銷售之用的商品除外,不得儲存任何易燃易爆物或危險商品(有關承租人做生意之用的酒精飲料,葡萄酒等除外)。(y) Not to do or permit or suffer to be done any act or thing which may be or become a nuisance or an
47、noyance to the Landlord or to the other licensees tenants or occupiers of adjoining or neighboring premises or to persons visiting the other licensees tenants or occupiers of adjoining or neighboring premises.(y) 任何有可能打擾房東,或其他持有執照承租方,或其他鄰近承租方,或拜訪其他承租方的行為都應避免。(z) Not to occupy clutter enclose or obst
48、ruct all or any part of the entrances staircase corridors or walkways of the Premises.(z) 不得圈占地方及阻礙入口處樓梯走廊或辦公室通道的暢通。(aa) Not to tout or permit the Tenants servants or agents to tout or to use freelance touts in connection with the business carried on in the Premises.(aa) 不得在辦公室內招攬生意或由承租方雇員或其代理人或使用自由
49、職業者在辦公室內從事有關招攬生意活動。(bb) Not to do or permit or suffer to be done any act deed matter or thing whatsoever whereby any insurance on the Premises against loss or damage by fire and/or clams by third parties for the time being in force may be rendered void or voidable or whereby premium thereon may be i
50、ncreased. If as the result of any act deed matter or thing done permitted or suffered by the tenant the premium on any such policy of insurance shall be increased the Landlord shall be entitled without prejudice to any other remedy hereunder to recover from the Tenant the amount of any increased pre
51、mium.(bb) 在本合同生效期間內,不可或不得許可或招致任何可能致使租屋火災保險及/或第三方訴訟險面臨被撤銷或無效的舉動,問題或事件等,或據此導致保險費增加的行為。如果承租方允許或做出此類行為,舉動或事件,租屋保險費應提高,在不受損害前提下,房東有權采取任何其他補救措施,從承租人那里獲得增加的租金。(cc) To obtain and maintain at the Tenants expense all government licenses, permits and registrations necessary for the conduct of the Tenants busin
52、ess for which the Premises are let and to obey and comply with and to indemnify the Landlord against the breach of any acts regulations bye-laws rules and requirements of any Competent Authorities relating to the conduct and carrying on of the Tenants business in the Premises or to any act deed matt
53、er or thing done permitted suffered or omitted therein or thereon by the Tenant or by any servant agent or invitee of the Tenant.(cc) 承租方應自費獲得所有必要的政府執照,許可及登記注冊,以便在辦公室內從事相關業務活動,應遵守相關規定,如在租用辦公室內有任何違反法規,細則及主管當局規定的行為則應為此對出租方做出賠償。(dd) To cause all its employees independent contractors agents and invitees
54、 to observe and perform all the rules and regulations made by the Landlord and the competent Authorities from time to time.(dd) 公司所有員工,代理人及被邀請人都應遵守并履行法規條例,以及出租方及主管當局隨時所做的規定。(ee) Not to affix or display or permit or suffer to be affixed or displayed within or outside the Premises any signboard sign d
55、ecoration poster flat notice or advertisement whether illuminated or not without the prior consent of the Landlord and the Competent Authorities.(ee) 在未獲得出租方及主管當局的許可下,不得在出租辦公室內或室外附加廣告牌,廣告裝飾海報,無論是發光還是不發光的平面通告或廣告。(ff) Not to demise assign mortgage underlet share grant a license or part with the posses
56、sion or occupation of the Premises or any part thereof or permit any other party or person to occupy or share the Premises or any part thereof at any time during the term hereby created without the prior written consent of the Landlord.(ff) 在本合同期內未提前獲得出租方的書面許可下,任何時候不得廉價轉租辦公室或賣掉辦公室內的財物或其內部的任何空地,不允許任何
57、其他一方或個人占據或分享辦公室(gg) At all times hereafter to indemnify and keep indemnified the Landlord against all actions proceedings claims demands costs damages and expenses which may be levied brought or made against the Landlord or which the Landlord may pay sustain or incur by reason or any act default neg
58、ligence or omission of the Tenant its servants agents invitees or customers and the Tenant will throughout the term of this Agreement maintain adequate third party liability insurance in respect of all such liabilities in the joint names of the Landlord and the Tenant for a sum approved by the Landlord, or such other sum as may be agreed upon from t
